These Terms of Service ("Terms") govern your access to and use of Kinn, a relationship-mapping product that helps you find warm paths to the people and organizations you want to reach (the "Service"). Kinn is operated by Exii ("Kinn", "we", "us", or "our"). By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use Kinn. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and "you" refers to that organization.
You are responsible for the activity on your account and for keeping your login credentials secure. You agree to provide accurate information and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe create risk or legal exposure for us or others.
Kinn works by connecting third-party sources you choose to link, such as your email and professional network, to help you find relevant people and organizations. You authorize us to access, process, and store this information as needed to provide the Service, in line with our Privacy Policy.
You represent and warrant that you have the right to connect each source and to allow us to process the relationship information it contains, including any information about third parties, and that doing so does not violate any law, contract, or third-party terms (including the terms of the connected providers). You are responsible for your use of contact, relationship, and introduction information surfaced by Kinn, including compliance with applicable privacy, anti-spam, and marketing laws.

The Service integrates with third-party providers. Your use of those providers is governed by their own terms and privacy policies, and we do not control and are not responsible for them. Provider availability, behavior, and access may change or be discontinued at any time, which may affect the Service.
We and our licensors own all rights in the Service, including its software, design, and content, excluding the data you connect. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business or personal use in accordance with these Terms. You retain all rights in the data you connect. You grant us a limited license to host, process, and display that data solely to provide and improve the Service.
If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
Kinn is under active development. Features may be added, changed, or removed, and some features may be labeled early access, beta, or preview. Such features are provided "as is," may be unstable, and are not guaranteed to reach general availability.
Some parts of the Service may be offered for a fee. Where they are, the applicable pricing and payment terms will be presented to you before you purchase. Unless required by law or stated otherwise, fees are non-refundable.
The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, that any results, matches, or information will be accurate or complete, or that any introduction or outreach will succeed. You are solely responsible for decisions and communications you make based on the Service.
To the maximum extent permitted by law, in no event will Kinn or its operators, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred pounds sterling (£100). Nothing in these Terms limits liability that cannot be limited by law.
You agree to indemnify and hold harmless Kinn and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your data or connected sources, your communications and introductions, or your breach of these Terms or of applicable law.
You may stop using the Service at any time and may delete your account. We may suspend or terminate your access if you breach these Terms, if required by a provider or by law, or to protect the Service or other users. On termination, your right to use the Service ends. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification. Deletion of account data is handled as described in our Privacy Policy.
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law gives you the right to bring proceedings elsewhere.
